You agree to indemnify, defend, and hold harmless Story Arc, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

5. Prohibited Content

You may not submit, transmit, or share content that:

• 5.1 Contains malware, viruses, or other harmful code
• 5.2 Infringes on intellectual property rights or proprietary information
• 5.3 Violates privacy rights or discloses confidential information without authorization
• 5.4 Contains explicit, offensive, or inappropriate material
• 5.5 Promotes illegal activities or violates any applicable laws

6. Age Restrictions

Our total liability for any claims arising from or related to our services shall not exceed the amount you paid to us for services during the twelve months preceding the claim, or $100 USD, whichever is greater.

9. Exclusion of Consequential Damages

We shall not be liable for any consequential, exemplary, incidental, or special damages of any kind, even if we have been advised of the possibility of such damages. This limitation applies regardless of the legal theory upon which liability is based.

10. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, utility failures, internet disruptions, government actions, or other acts of God.

11. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding shall be brought exclusively in the courts located in New York County, New York.

12. Dispute Resolution

In the event of any dispute, claim, or controversy arising from or relating to these terms or our services, the parties agree to:

• 12.1 First attempt to resolve the dispute through good faith negotiations
• 12.2 If negotiations fail, pursue mediation before an agreed-upon neutral mediator
• 12.3 Only pursue litigation after exhausting negotiation and mediation options

13. Waiver of Class Actions

You agree to bring any disputes in your individual capacity and not as a plaintiff or class member in any purported class, representative, or private attorney general proceeding. This waiver applies to class arbitration, class actions in court, and representative actions.

14. Severability

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The unenforceable provision shall be replaced with a valid provision that most closely matches the intent of the original.

15. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other legal notices or agreements published on our website, constitute the entire agreement between you and Story Arc regarding use of our services and supersede all prior agreements and understandings.
